This Real Estate Advertising Service Terms and Conditions document (“Advertising Terms and Conditions”) constitutes a binding agreement between Masahat Al-Mustaqbal Real Estate Establishment, Commercial Registration No. 1010830503, (hereinafter referred to as the “Company”), and the Advertiser – as defined herein – and sets forth the responsibilities of both parties. The Advertiser shall carefully read these Terms and Conditions before using the Website. By accessing, using, or benefiting from any service, feature, content, or functionality provided through the Website, the Advertiser acknowledges and agrees to be bound by these Advertising Terms and Conditions, together with the General Terms of Use and the Privacy Policy (collectively, the “Terms and Conditions”), and declares his full knowledge and acceptance thereof without reservation.
Article (1): Definitions
Applicable Laws and Regulations
Shall mean all relevant laws, rules, and regulations in force within the Kingdom of Saudi Arabia.
Advertisement
This is the listing of a real estate unit on the Website, categorized into several types as detailed herein.
Main Advertisement
Shall mean the primary real estate listing published on the Website, which is visible to visitors who may express interest therein.
Featured Advertisement
Shall mean a real estate listing published on the Website which appears to visitors when searching for a real estate unit within a specific neighborhood or district.
Featured Plus Advertisement
Shall mean a real estate listing published on the Website which appears to visitors when searching for a real estate unit within a particular neighborhood, district, or city, and which is also marked with a golden pin on the property map view.
Fees
Shall mean the amounts payable by the Advertiser for the purpose of listing a real estate unit, as detailed under Article Six of these Advertising Terms and Conditions.
Advertising Period
Shall mean the period during which the Advertisement remains published on the Website, being thirty (30) days from the date of publication.
Advertiser
Shall mean the natural or legal person using the Website, whether as the owner of the real estate unit or as an authorized representative thereof.
Website
Shall mean the “Masahat” platform, including its mobile application.
Real Estate Unit
Shall mean any space or real estate premises listed through the Platform, including, without limitation, a retail shop, office, showroom, kiosk, booth, exhibition stand, warehouse, open area, or any other real estate unit designated for lease or for commercial or investment use in accordance with the purpose of the listing.
Article (2): Representations and Obligations of the Advertiser
The Advertiser hereby represents and undertakes the following:
1. To possess legal capacity to contract in his personal capacity if a natural person or is duly incorporated and legally recognized if a legal entity, to carry out the Advertisement. Where the Advertiser acts on behalf of another, he represents that he is duly authorized to act on behalf of such person, whether natural or legal.
2. To act with honesty and integrity in the Advertisement.
3. To refrain from any act that may cause ambiguity or mislead the public and to ensure the accuracy of all information entered.
4. To comply with the General Guidelines issued for advertising content.
5. To comply with all regulations and requirements issued by the competent authorities regulating ethical and media content, in all forms (traditional and electronic).
6. To use official names of cities, neighborhoods, streets, and property types, while being permitted to add commonly known names.
7. That the sole purpose of the Advertisement shall be for leasing only.
8. To ensure that the images included in the Advertisement accurately represent the actual real estate unit.
9. To be solely responsible for posting, monitoring, browsing, and updating the Advertisement during the Advertising Period, including any extension of the Main Advertisement.
10. To be solely responsible before the lessee for any inaccuracies in the data and information included in the Advertisement.
11. That the real estate unit is sound, free from material defects that may impair its intended use, duly licensed, and not subject to any agreements, encumbrances, liens, or disputes that may impede or affect its lease. In the event otherwise, the Advertiser undertakes to disclose such matters clearly in the Advertisement.
12. It is prohibited to publish fictitious Advertisements for the purpose of collecting recipient data, public information, or for any other purpose.
13. The Advertiser agrees to pay the Advertising Fees to the Company (Masahat Al-Mustaqbal Real Estate Establishment) upon the conclusion of any lease transaction with clients who have been introduced to the Advertiser through the Website. The Advertiser further agrees that the client’s confirmation in this regard shall be final and binding.
14. The Advertiser undertakes not to send or attempt to send any computer viruses, defects, destructive materials, or upload, publish, transmit, broadcast, or otherwise make available any information on or through the Website which may be harmful, threatening, or contrary to public morals.
15. The Advertiser undertakes not to engage in any automated action to interfere with, or attempt to interfere with, the proper functioning of the Website, nor to take any action that imposes an unreasonably large or disproportionate load on the available infrastructure.
16. The Advertiser undertakes not to engage in reverse engineering, reverse compiling, disassembly, or any other action aimed at discovering the formulas, algorithms, or processes relating to the computer program used in the Website’s infrastructure or operations.
17. The Advertiser undertakes not to copy, reproduce, alter, modify, or create derivative works from the Website’s content without the prior written consent of the Company, whether during or after the Advertising Period.
18. The Advertiser undertakes to immediately notify the Company if he becomes aware of or suspects any unauthorized use of the Website under his account or any suspected breach of security.
19. The Advertiser undertakes not to collect information from the Website or its users for personal purposes, nor to use the Website for any private commercial purposes or business activities not expressly authorized in writing by the Company.
20. The Advertiser represents that he is not an employee, representative, or affiliate of the Company, and that his use of the Website does not create any form of agency or partnership with the Company. He shall not act or represent himself as authorized to act on behalf of the Company in any manner whatsoever.
21. The Advertiser undertakes to exert all reasonable efforts in using the Website and protecting it against any unauthorized use or damage, and in case of non-compliance with this provision or any of the Terms and Conditions, he shall bear full liability towards the Company and relevant authorities and indemnify the Company for any current or future damages.
22. The Advertiser acknowledges and agrees that the Company does not guarantee that leasing the unit will result from the Advertisement, and that he shall have no recourse against the Company in the event no lease transaction occurs.
Article (3): Contents of the Advertisement on the Website
1. The Advertisement must include the following information:
a) A clear statement that it is an advertisement (this may be stated in the description).
b) The specific purpose of the Advertisement.
c) The type of real estate unit, including but not limited to: retail shop, office, showroom, kiosk, booth, exhibition stand, warehouse, open area, or any other real estate unit designated for lease or commercial/investment use, together with full details as provided under Article Four herein.
d) Full name of Advertiser and legal capacity (owner or authorized representative).
e) The real estate brokerage/marketing license number if the Advertiser is an office, real estate broker, or holder of a freelance work permit.
f) The location of the real estate unit, including at minimum: city, neighborhood, and plot number (if any).
g) An effective communication method with the Advertiser.
2. The Advertiser is prohibited from including in the Advertisement any of the following:
a) Content is indecent or offensive to public morals.
b) Any material that infringes intellectual property rights.
c) Negative references to competitors, private sector establishments, or others.
d) Words or references that imply discrimination of any kind.
e) Misleading photos, data, locations, or views unrelated to the advertised property.
f) The logo or name of the Real Estate General Authority (REGA) or any other governmental authority without prior authorization.
Article (4): Real Estate Unit Information in the Advertisement
The Advertiser must disclose the following information when publishing the Advertisement:
1. The area (size) of the real estate unit.
2. Any existing disputes, if any.
3. Any mortgage, lien, or restriction preventing or limiting disposition or use of the unit.
4. Any rights or obligations related to the unit not documented in the property deed (e.g., written agreements not stated in the deed).
5. Services related to the real estate unit.
6. Any information that may affect the value or condition of the unit, or influence the decision of the intended lessee, such as guarantees, their duration, or the age of the building.
7. Where the Advertisement relates to a real estate auction, the following must be included in addition to requirements of the relevant authorities: auction license number, location, terms, scheduled date and time, duration, and final deadline for submitting bids (if applicable).
8. A description of the real estate unit, including its type, age, contents, street width, frontage, and any other material descriptions.
9. Boundaries and dimensions of unit.
10. Price of unit in Saudi Riyals.
Article (5): Terms of Use
1. Where the Advertiser wishes to publish a Main Advertisement for his real estate unit, he shall submit a request to the Company for review, together with all required supporting documents.
2. The Advertiser acknowledges that the acceptance or rejection of any Main Advertisement shall be subject solely to the Company’s discretion.
3. In the event the Company approves the Advertisement, the Advertiser shall be obligated to pay the advertising fees upon completion of the sale or lease, in accordance with the amounts set forth in Article Six of these Advertising Terms and Conditions.
4. The Advertiser may request to upgrade the Main Advertisement as follows:
a) To a Featured Advertisement or a Featured Plus Advertisement, if he is the owner of the real estate unit; or
b) To a Featured Advertisement, if he is an authorized representative of the owner.
Such request shall be made directly through the Advertiser’s account on the Website, subject to the payment of the applicable fees specified under Article Six below, and the selection of the real estate unit to be listed as a Featured Advertisement or Featured Plus Advertisement, as applicable. The upgrade shall take effect immediately upon selection of the real estate unit and publication thereof.
5. The Advertiser acknowledges that a Featured Advertisement or Featured Plus Advertisement shall apply to one real estate unit only, and may not be suspended and re-listed, nor transferred to another unit once commenced. However, the Advertiser may cancel it, without refund of any fees paid.
6. The Advertiser agrees and acknowledges that the Featured Advertisement and Featured Plus Advertisement must be used within six (6) months from the date of payment (“Validity Period”). Should the Advertiser fail to utilize the advertisement during such period, he shall not be entitled to any refund, compensation, or extension.
Article (6): Advertising Fees and Payment Method
1. In the event the Company approves the Advertisement, the advertising fees shall be payable in accordance with prices in effect at the date of subscription for each category, as displayed to the Advertiser, and shall be settled as follows:
a) Upon completion of the sale or lease, in the case of a Main Advertisement; and
b) Immediately, in case of a Featured Advertisement or a Featured Plus Advertisement.
c) Fees shall be paid through the payment methods available on the Website.
d) The Advertiser acknowledges and agrees that all advertising fees are non-refundable.
Article (7): Termination
Either the Advertiser or the Company may terminate or suspend the provision of services on the Website under the following conditions:
1. The Advertiser may cease using the Website and cancel the Advertisement at any time at his sole discretion.
2. (Masahat Al-Mustaqbal Real Estate Establishment) may suspend or discontinue the Website or terminate or restrict the Advertiser’s access and use thereof, in the event of any breach by the Advertiser of these Terms and Conditions, or if, in the Company’s sole and absolute discretion, such action is deemed necessary. This shall be without prejudice to any other rights available to the Company under these Terms and Conditions or under applicable laws and regulations.
Article (8): Notices and Communications
1. Notifications shall appear to the Advertiser upon accessing the Website, and (Masahat Al-Mustaqbal Real Estate Establishment) may also communicate with the Advertiser via email, text message, or telephone when necessary.
2. The Advertiser may contact the Company in relation to the Website through the communication channels provided on the Website.
3. In the event of any inquiry or complaint relating to the Website, the Advertiser shall contact the Company through the available communication channels, and the Company shall respond to any inquiry or resolve any complaint as soon as reasonably possible.
Article (9): Governing Law and Jurisdiction
All matters relating to these Terms and Conditions shall be governed by, interpreted, and enforced in accordance with the laws in force within the Kingdom of Saudi Arabia. The courts of Riyadh shall have exclusive jurisdiction over any dispute arising.
Article (10): Acceptance of Terms and Conditions
The Advertiser acknowledges reviewing all Terms and Conditions governing the use of the Real Estate Advertising Service upon registering for the service and hereby accepts and agrees to them. (Masahat Al-Mustaqbal Real Estate Establishment) may, from time to time, amend these Terms and Conditions at its sole discretion and without requiring the consent of the Advertiser. Continued use of the service by the Advertiser following notification of any changes shall constitute acceptance of, and agreement to be bound by, the amended Terms and Conditions.
